Terms & Conditions
These Terms & Conditions govern the use of ewintoys.com and provide the general framework for business inquiries, RFQs, sample-development discussions, quotations, and project communication with Dongguan Ewin Toys Co., Ltd. They are designed to make early-stage commercial and technical expectations clear before a project moves into a formal order.
Specific manufacturing projects may involve separate quotations, sample approvals, purchase orders, pro forma invoices, NDAs, specifications, Golden Samples, BOMs, packaging files, testing requirements, or manufacturing agreements. Where an approved project document conflicts with these website Terms, the project-specific written agreement will apply to the extent stated in the relevant document.
Effective Date: September 20, 2026
Last Updated: September 20, 2026
Scope and Applicability
These Terms apply to people and organizations that access ewintoys.com, submit an inquiry, request a quotation, provide project information, discuss sample development, or otherwise communicate with Ewin Toys in connection with custom plush development or manufacturing.
The website primarily supports commercial manufacturing relationships, including programs for brands, IP owners, licensors, toy and collectible companies, retailers, entertainment companies, institutions, and other organizations. It is not intended to operate as a standard consumer checkout store unless a separate purchasing function and separate consumer terms are expressly provided.
By using the website, you agree not to misuse its content, interfere with its operation, submit unlawful material, misrepresent your authority, or use Ewin Toys’ systems to pursue unauthorized copying, infringement, fraud, or other improper activity.
Submitting an inquiry confirms only that you are asking Ewin Toys to review information or communicate about a potential project. An inquiry does not require Ewin Toys to accept the project, reserve capacity, begin development, purchase materials, open tooling, manufacture goods, or guarantee a delivery date.
Ewin Toys may decline or stop reviewing a project where the request involves unauthorized third-party intellectual property, unlawful products or conduct, false or misleading information, unreasonable safety demands, instructions that conflict with applicable law, or commercial requirements that cannot be responsibly supported.
Contract Hierarchy and Project Documents
Custom manufacturing develops through several levels of information. A website inquiry, early sample discussion, approved quotation, Golden Sample, and final production release do not all carry the same commercial or technical weight.
Website Terms Provide the General Framework
These Terms establish the baseline rules for website use, inquiry handling, quotations, project information, intellectual property, confidentiality, and common commercial matters. They are not intended to replace every project-specific requirement.
Project-Specific Documents Define the Actual Order
Depending on the project, the parties may use one or more of the following:
- signed framework or manufacturing agreement;
- accepted purchase order or pro forma invoice;
- approved quotation or commercial offer;
- NDA or confidentiality agreement;
- approved sample or Golden Sample;
- frozen BOM and released material references;
- released pattern and decoration files;
- packaging specification and barcode information;
- testing, compliance, or retailer requirements;
- written engineering or commercial change approvals.
Where a project-specific document expressly changes a term contained here, the accepted project-specific document will control for that project to the extent of the conflict.
One Active Version Should Control Each Requirement
Older artwork, previous quotations, superseded sample comments, obsolete patterns, old packaging files, screenshots, or informal messages should not be treated as active instructions after a newer version has been formally approved or released. Ewin Toys may request written confirmation where two instructions conflict or where the active version is unclear.
Website Use and Content Rights
Unless otherwise stated, the text, graphics, process descriptions, photographs, factory videos, diagrams, technical articles, case-study materials, trademarks, logos, layouts, and other content published on ewintoys.com are owned by Ewin Toys, licensed to Ewin Toys, or used with permission.
You may view the website, share links internally, and use reasonable extracts for legitimate supplier evaluation, sourcing review, or project communication. You may not, without written permission:
- reproduce substantial website content for commercial publication;
- represent Ewin Toys factory images, videos, samples, or case materials as your own facilities or work;
- remove copyright, trademark, confidentiality, or attribution notices;
- republish technical content as another company’s original material;
- scrape or systematically copy website content to create a competing database or commercial service;
- alter Ewin Toys materials in a way that creates a false or misleading statement;
- use Ewin Toys trademarks, logos, or photographs to suggest an endorsement or relationship that has not been approved.
Third-party trademarks, client IP, product artwork, or authorized project materials shown on the website remain subject to the rights of their respective owners and to the permission scope under which they were published.
Nothing in these Terms grants a license to use Ewin Toys’ intellectual property beyond normal website access and legitimate business evaluation.
RFQs and Business Inquiries
A useful RFQ gives Ewin Toys enough information to understand the product, commercial scale, target market, and required next step. An incomplete RFQ may still be reviewed, but any early estimate may depend on assumptions that need to be confirmed later.
Useful inputs can include:
- product type and intended use;
- artwork, reference images, physical sample, or Tech Pack;
- approximate finished size;
- quantity by SKU, color, or size;
- number of SKUs;
- material or handfeel direction;
- accessories, clothing, electronics, magnets, weighted inserts, or other functions;
- target country or market and intended age grade where relevant;
- retail packaging, barcode, label, and carton requirements;
- target sample date, launch date, or required delivery window;
- destination and preferred Incoterm;
- testing, inspection, vendor-manual, or retailer requirements.
Ewin Toys may ask for additional information before confirming feasibility, cost, MOQ, sample timing, production timing, compliance route, packaging, or delivery.
An RFQ is an invitation to review a potential project. It is not an offer that Ewin Toys is required to accept, and Ewin Toys may decide that further development, testing, engineering review, or commercial clarification is needed before a formal quotation can be issued.
Information provided during an RFQ should be accurate to the best of the submitting party’s knowledge. If quantity, size, materials, market, packaging, artwork, or timing later changes, the commercial and technical conclusions may also change.
Quotations and Price Validity
A plush quotation is based on the product definition and assumptions available at the time it is prepared. Price should therefore be read together with the specification, quantity, SKU structure, quality requirements, packaging, testing scope, delivery terms, and validity period.
Different Quotation Stages Serve Different Decisions
An early concept may receive an indicative range for budget screening. After materials, pattern, construction, accessories, packaging, and testing become clearer, a development quotation can become more precise. The final bulk price may be confirmed after an approved sample, BOM, and production assumptions are sufficiently stable.
Formal Quotations Should Include a Validity Period
A formal quotation should state a Valid Until date or validity period. The appropriate validity can depend on material and component prices, exchange-rate movement, freight, seasonality, supplier pricing, production conditions, and whether the product specification has been frozen.
If the validity period expires or a significant cost input changes, Ewin Toys may reconfirm or revise the quotation before accepting an order.
Quotation Validity: As stated in the applicable quotation or commercial document.
Price Changes Can Be Triggered by Project Changes
A revised quotation may be required when a material project input changes, including:
- finished size or construction;
- artwork, pattern, embroidery, printing, or decoration;
- fabric, GSM, pile, color, or material supplier;
- accessories, molded components, magnets, electronics, or internal inserts;
- quantity or SKU allocation;
- packaging, barcode, labeling, or carton specification;
- testing, compliance, or inspection scope;
- required delivery schedule;
- Incoterm, destination, or transport assumptions.
The purpose of re-quotation is to align the commercial terms with the product that will actually be developed or manufactured.
Samples, Development, and Revisions
Sample development may involve pattern engineering, sample sewing, material sourcing in small quantities, embroidery or print setup, special accessories, handwork, internal review, sample QC, and revision work. Those activities can create costs before any bulk order is placed.
Sample Fees Depend on the Development Route
Sample fees may vary according to product complexity, number of SKUs, materials, decoration, handwork, custom components, electronics, tooling, and the amount of engineering needed. The applicable sample fee, if any, should be stated in the sample quotation or project communication.
Ewin Toys does not treat every project as automatically eligible for free sampling.
Revisions Should Follow the Approved Comment Route
Sample comments should identify the relevant sample version and the change requested. If several stakeholders are involved, Ewin Toys may ask for consolidated feedback so pattern, material, embroidery, accessory, and structure changes are not based on conflicting instructions.
A revision caused by an agreed Ewin workmanship or execution issue may be handled differently from a revision caused by new artwork, a new size, a new material, a new feature, or a change in creative direction.
Bulk-Order Credit Is Project Specific
Where a sample-development fee is eligible for partial or full credit against a later bulk order, the conditions should be stated in the applicable quotation or written commercial approval. No website statement should be interpreted as an automatic refund or bulk-order credit for every sample project.
Sample Fee / Bulk Credit Terms: As stated in the applicable quotation or written project confirmation.
Tooling, Testing, and Other Project Fees
Sample fees, tooling fees, testing fees, and other non-recurring project charges cover different work and should not be assumed to be included in the unit price unless the quotation expressly says so.
Tooling and Setup
Projects may require plastic, PVC, silicone, vinyl, metal, electronic, printing, embroidery, sewing, positioning, testing, or assembly-related tooling, molds, fixtures, programs, or setup work.
Where tooling is required, the quotation or tooling agreement should identify the relevant fee and, where applicable, address:
- tooling description;
- modification or repair responsibility;
- ownership or usage rights;
- storage expectations;
- maintenance responsibility;
- replacement conditions;
- disposal or transfer requirements.
Third-Party Testing
Testing fees depend on the target market, age grade, materials, components, product structure, requested standards, sample quantity, retailer requirements, and laboratory scope.
If third-party testing is required, the project documents should identify the intended test scope, responsible party, testing samples, estimated timing, and cost responsibility where applicable.
A test quotation or test plan is separate from the product unit price unless expressly included.
Other Project Charges
Projects may also involve special freight, prototype shipping, retailer-specific inspections, urgent testing, custom sample materials, electronic NRE, development fixtures, certification support, or other project-specific costs. Any material charge should be communicated before the related work is authorized.
Order Acceptance and Payment
A purchase order, email, RFQ, or forecast does not automatically require Ewin Toys to begin production. Order acceptance depends on the commercial documents and approval process applicable to the project.
A project may require some combination of:
- accepted quotation;
- confirmed PI;
- accepted PO;
- signed agreement;
- approved specification;
- approved Golden Sample or equivalent reference;
- agreed payment milestone;
- material or tooling authorization;
- production release confirmation.
The document used to confirm order acceptance should be clear for the relevant project.
Payment Terms Are Project Specific
Payment terms are part of project risk allocation and may vary according to development stage, material commitments, order value, production requirements, cooperation history, forecast quality, credit review, and other commercial factors.
New projects may require payment that covers early development, tooling, custom materials, or production commitments before the relevant work begins. Established strategic relationships may use different milestones where approved.
Payment Terms: As stated in the applicable quotation, PI, contract, or accepted commercial document.
Ewin Toys is not required to order custom materials, open tooling, reserve production, release goods, or perform another chargeable milestone before the agreed payment condition for that milestone has been satisfied.
Banking instructions should be verified using the contact process stated in the commercial documents. A change of bank details should be independently confirmed before payment.
Approved Specifications, Golden Sample, and Change Control
Custom plush production depends on controlled references. The purpose of approval is to establish which product version Ewin Toys is expected to reproduce.
Production Should Follow the Released Package
The active production reference may include:
- Factory Golden Sample and QC reference;
- frozen BOM and material specifications;
- released pattern and pattern revision;
- final embroidery, print, or decoration artwork;
- approved accessories and components;
- filling or internal-structure references;
- approved labels and warnings;
- approved packaging artwork and pack-out specification;
- project QC or testing requirements.
A visual photograph alone may not show hidden construction, material codes, internal reinforcement, filling weight, component orientation, barcode revision, or other information needed for repeat production.
Older Versions Should Be Treated as Obsolete
Once a newer version is formally approved, previous samples, artwork, BOMs, patterns, pack files, or comments should not be reused unless the parties agree to restore them.
Ewin Toys may pause development or production where the active version is unclear or where different representatives provide conflicting instructions.
Changes After Approval May Affect Cost and Timing
A requested change after sample approval or production release may require one or more of the following:
- engineering review;
- revised sample;
- revised BOM or pattern;
- new material approval;
- revised quotation;
- new tooling or setup;
- new compliance review or testing;
- packaging revision;
- revised production schedule;
- revised delivery schedule.
A change should not enter production until the affected technical and commercial points have been confirmed in writing.
MOQ, Quantity, and Commercial Assumptions
MOQ is determined by the supply and production conditions of the actual project rather than one universal number.
A feasible starting quantity can be influenced by:
- fabric and color minimums;
- custom-dyed or custom-printed materials;
- accessory or component minimums;
- embroidery or printing setup;
- custom molded parts or electronics;
- packaging and label minimums;
- number of SKUs and quantity split;
- production setup and line change requirements;
- pilot-production needs;
- target cost and delivery plan.
A quotation based on one quantity or SKU allocation may not remain valid if the order is later divided into more colors, characters, sizes, or packaging versions.
If the ordered quantity falls below a supplier or process minimum, Ewin Toys may propose alternatives such as shared materials, stock materials, simplified packaging, pilot quantities, revised SKU allocation, material surcharges, or a different production route.
Overage, shortage, production tolerance, or final invoice treatment, if applicable to a project, should be stated in the PO, PI, quotation, or manufacturing agreement.
Compliance and Testing Responsibilities
MOQ is determined by the supply and production conditions of the actual project rather than one universal number.
A feasible starting quantity can be influenced by:
- fabric and color minimums;
- custom-dyed or custom-printed materials;
- accessory or component minimums;
- embroidery or printing setup;
- custom molded parts or electronics;
- packaging and label minimums;
- number of SKUs and quantity split;
- production setup and line change requirements;
- pilot-production needs;
MOQ, Quantity, and Commercial Assumptions
Product compliance depends on where the product will be sold, who will use it, how it is constructed, which materials and components are used, and which standards or retailer requirements apply.
Target Market and Age Grade Should Be Identified Early
The submitting organization should provide the intended market, age grade, sales channel, and known retailer or regulatory requirements as early as reasonably possible.
A product developed for one market or age group may require additional review before being supplied for another.
Testing Scope Is Product Specific
Depending on the product, applicable work may involve physical, mechanical, flammability, chemical, labeling, battery, electronic, or other testing. Requirements such as ASTM F963, CPSIA, EN71, EN IEC 62115, REACH-related obligations, or other standards apply only where relevant to the actual product and market.
Ewin Toys will not treat one report for one SKU, material set, or version as blanket proof for unrelated products.
Changes Can Affect Previous Compliance Evidence
A change in material supplier, pigment, coating, component, structure, color, electronics, label, age grade, or market may require the existing evidence to be reviewed and, where necessary, new testing or documentation to be completed.
Where a retailer, licensor, marketplace, or other organization imposes additional requirements beyond general law, those requirements should be provided before the applicable approval or production milestone.
Final responsibility allocation for testing, documentation, certification, local registration, importer obligations, retailer approval, or market placement should be stated in the project-specific documents where relevant.
Intellectual Property and Design Rights
Ewin Toys works with original characters, licensed IP, logos, artwork, product concepts, existing samples, packaging, and other proprietary materials. Clear authorization is essential before development or manufacturing begins.
You Must Have the Right to Submit the Materials
By submitting artwork, logos, characters, designs, photographs, samples, packaging, or other materials, you represent that you own the relevant rights or have sufficient permission to request the intended development, quotation, prototyping, or manufacturing work.
Ewin Toys may refuse, suspend, or cancel a project if there is a reasonable concern that the requested work infringes a third party’s copyright, trademark, design right, patent, character right, license restriction, or other intellectual property right.
Ewin Toys is not required to investigate ownership of every file submitted, but may request evidence of authorization for branded, licensed, or recognizable third-party IP.
Submitted IP Is Not Automatically Transferred to Ewin Toys
Submitting authorized artwork or brand materials for project work does not by itself transfer ownership of that underlying IP to Ewin Toys.
Ewin Toys may use submitted materials only to the extent reasonably required to evaluate, develop, source, manufacture, test, pack, ship, document, or otherwise perform the agreed project, subject to applicable confidentiality terms.
Development Assets and Tooling Need Project-Specific Rules
Ownership and usage rights for newly created patterns, technical files, molds, fixtures, electronic designs, tooling, sample-development assets, or other project-created items can vary according to who created them, who paid for them, and what the commercial agreement states.
No ownership rule should be inferred solely from payment of a sample or quotation unless the relevant project document expressly states it.
Confidentiality and Public Use
Confidentiality for a manufacturing project is separate from ordinary website privacy. A project may include commercially sensitive information even where no personal data is involved.
Examples include:
- unreleased character artwork;
- style guides and character bibles;
- Tech Packs and BOMs;
- product roadmaps;
- launch dates;
- forecasts and order quantities;
- retailer specifications;
- pricing and target-cost information;
- defect reports;
- current supplier information;
- packaging artwork;
- prototypes and sample photographs.
NDA and Restricted Project Workflows
Where the project requires stronger confidentiality, the parties may use an NDA or other written confidentiality arrangement before sensitive files are released.
Ewin Toys may use restricted project folders, project codes, limited access, controlled photography, controlled sample handling, supplier disclosure limits, or other project-appropriate measures.
Project Submission Does Not Equal Marketing Permission
Providing artwork, product files, samples, logos, brand names, factory-visit photographs, or other project materials for development or manufacturing does not automatically authorize Ewin Toys to use them in advertising, social media, exhibitions, case studies, portfolio materials, sales presentations, or public website content.
Public use should follow the permission scope agreed for the relevant project.
Necessary Supplier Disclosure
Some projects require limited information to be shared with approved material, decoration, component, testing, packaging, logistics, or other specialist providers. Where reasonably possible, disclosure should be limited to what the specialist needs to perform the assigned task.
Delivery, Incoterms, and Events Beyond Reasonable Control
Delivery obligations should be read together with the agreed Incoterm, named place, destination, production readiness, packaging status, inspection status, and transport assumptions.
Incoterm and Named Place Define the Commercial Boundary
Where used, terms such as EXW, FOB, CIF, or DDP should be interpreted according to the version of Incoterms stated in the project documents and together with the named location.
A unit price quoted under one Incoterm should not be treated as directly comparable with a price under a different Incoterm without considering the additional responsibilities and costs.
Applicable Incoterm: As stated in the quotation, PI, PO, or contract.
Named Place / Destination: As stated in the applicable project document.
Production Timing and Transit Timing Are Different
A manufacturing schedule covers the work needed to produce and release the goods. Transit timing depends on carrier availability, route, mode, customs, port conditions, destination handling, and other logistics factors.
Unless expressly guaranteed in a signed project document, estimated manufacturing or transport dates are planning targets rather than unconditional guarantees.
Events Beyond Reasonable Control
To the extent permitted by applicable law and the relevant contract, a party may be excused or given additional time for delay caused by events beyond its reasonable control, such as severe natural events, war, government restrictions, major port closure, carrier disruption, epidemic measures, widespread utility failure, labor disruption, or other extraordinary events that materially affect performance.
The affected party should provide reasonable notice where possible and take reasonable steps to reduce the impact.
Quality Claims, Cancellation, Liability, and Disputes
These topics can create significant legal and commercial consequences and should be read together with the applicable quotation, PO, PI, manufacturing agreement, quality agreement, and governing law.
Quality or Quantity Claims
If you believe delivered goods do not match the approved specification, identify the affected PO, SKU, quantity, issue, photographs, inspection information, carton or batch information, and any other evidence reasonably needed to evaluate the claim.
Ewin Toys may request samples, additional photographs, inspection records, or access to the affected goods before confirming root cause or remedy.
Potential responses can include containment, sorting, reinspection, rework, replacement, credit, corrective action, or another mutually agreed remedy depending on the cause, severity, quantity, evidence, contract, and applicable law.
Cancellation and Suspension
Custom manufacturing can involve committed development time, custom materials, tooling, testing, packaging, and reserved production capacity. Cancellation after those commitments have been made may create unrecoverable costs.
Cancellation treatment should therefore depend on the stage reached and the commitments already made.
Ewin Toys may also suspend work where required information, approvals, payment, lawful authorization, or project decisions are overdue and the delay prevents responsible continuation.
Limitation of Liability
Any exclusion of indirect loss, consequential loss, lost profit, business interruption, or any liability cap must be confirmed by qualified legal counsel and stated in a manner permitted by the governing law and the applicable project agreement.
Nothing in these Terms should be interpreted to exclude liability where such exclusion is prohibited by applicable law.
Governing Law and Dispute Resolution
The law governing these Terms and the agreed forum for unresolved disputes should be stated only after Ewin Toys confirms its legal and commercial policy.
Before formal proceedings, the parties are encouraged to escalate material commercial or technical disputes through the responsible project and management contacts in an effort to resolve the issue efficiently.
Changes to These Terms
Ewin Toys may revise these Terms when website functions, business processes, commercial policies, legal requirements, project practices, or risk controls change.
The current version will be published on ewintoys.com with an updated Last Updated date.
A later website revision does not automatically rewrite a previously signed contract, accepted PI, accepted PO, NDA, approved quotation, or other project-specific agreement. Existing projects remain subject to the documents that legally govern them unless the parties agree otherwise.
For a new inquiry or project started after revised Terms are published, the version available at the relevant time may apply unless a separate agreement states otherwise.
